The Instant Network (the “Network”) is provided as an internet-based service by The RLM Group, LLC (the “Company”) and is in no way an employment or placement agency or service, nor in any way extends any offer of employment to any person from any employer. Neither the Company, nor its affiliates, nor the officers, directors, employees, shareholders, associates, agents or assignees of the Company or its affiliates (aggregated as the “Affiliated Parties”) are responsible in any way for The Instant Network’s use or results therein from the Network’s use. All members certify they are of legal age, are legally able to use such a service, take full responsibility for such use and make the indemnification below. Moreover, members acknowledge the risks from other members irresponsible or fraudulent use of the Network, or of anyone's fraudulent entry into membership, especially in respect to this paragraph, and indemnify the Network, the Company, and all Affiliated Parties from any action resulting from members' participation in the Network, arising from The Instant Network, its use or misuse, or the Company’s and/or all Affiliated Parties’ action or inaction on any matter. The Instant Network is provided "as-is" and neither the Company nor any of the Affiliated Parties warrants or assures any usefulness, result, timeliness, completeness or accuracy of any information on, or of the Network itself, either in concept or practice. |

| Abuse: | ||||||
|
No abuse of the Network of any kind will be tolerated. No member may use the network for purposes other than those intended, nor shall any member exploit the Network. No member shall utilize the Network to the detriment of or to the annoyance of any other member. Any use of an unsocial nature or of questionable taste shall be considered abuse. No abuse, spam or other criminal, unethical or immoral activities shall be tolerated, nor shall any pornography or content not of a career-oriented nature. Disregard, non-adherance or misapplication of the Network’s Rules is considered abuse. Abuse can include offenses of action or inaction (i.e. if you bother someone while calling or do not bother to return someone's call). Any abuse of the Network by any individual shall result in immediate revocation of membership privileges and the forfeiture of any remaining membership prepaid balance. |

| Access: | ||||||
|
The Instant Network is a membership-based network referral service available to anyone regardless of race, creed, color, sexual preference, education, religious affiliation or job experience/preference. Members pledge to other members personal access in order to facilitate the career networking concept of the Network. Members are required to be accessible to and communicate with any other member on matters concerning their careers. Such communication must be timely, professional, civil and polite, open and honest, and given with a genuine manner of assistance. Members are strongly advised to use e-mail, at least in part, in order to document their replies to members’ inquiries in order to defend against any malicious complaints made to the Network Administrator. Members may wish to communicate with other members concerning a job opportunity posted by a member, or on general or specific career matters the member initiating the contact reasonably believes the other member is able to provide. Members receiving an initiating contact from other Instant Network members are obligated to reply to the best of their ability, and again in a spirit of mutual cooperation. The Golden Rule is sacrosanct: treat other members as you yourself would like to be treated. We are here to network: ergo, you must network if called upon. Members are not required to assist other members in any way injurious to themselves, the other members or The Instant Network. Members are not required to converse with any person who is not a current Instant Network Member, and are encouraged to confirm membership status online. |

| Billing: | ||||||
|
Individual dues are $20.00 per month. Corporate Dues are $100.00 per month. All amounts are in U.S. dollars. Government, Clergy, and Support Group memberships are free. Every paying member is required to post three (3) career opportunities per month each. Each opportunity posted grants the member a $5.00 credit in the month posted and applied to the next billing cycle, up to three (3) credits per month. Additional postings above three (3) in any given month do not receive credit for posting requirement nor membership dues. Additional postings above three (3) in any given month will not receive this credit, nor will they roll forward or backward for past or future months' requirements and/or credit. Membership months commence at 12:00AM of the first day after registering and run through 11:59PM of the same day of the following calendar month. Members who join on the 29th, 30th or 31st day of any month shall be billed on the last day of any month not containing 29, 30 or 31 days. (i.e., members who join on the 1st through 28th of any month shall have their month count at each successive 1st through 28th of the following month. Members who join on February 29th of any leap year shall have their month counted on the 29th of every month except the following February, where their month shall count at February 28th. Members who join on the 30th day of the month shall have their membership month count at the 30th day of every month, except February, wherein their membership month shall count at February 28th.) Members who joined on the 31st of any month shall have their membership month count at the 31st of January, March, May, July, August, October and December, and the 30th of all other months except February when the membership month shall end February 28th. Statements for each member will be e-mailed no less than quarterly and payments, if any, are due within 10 days of the date of the statement. Each statement shall show the opportunities posted, resulting credits given in the month preceding the statement date, and balance remaining on the prepayment. Once the membership prepayment balance reaches $0.00, payment is due within 10 days or the member’s name may be posted as delinquent and membership privileges may be suspended. In no case shall membership privileges be extended for accounts over 30 days delinquent without prior arrangements made. Refunds on unused portions of resigned memberships shall be made of the remaining balance on the membership account as shown on the next invoice statement generated after receipt of written resignation notice from the resigning member. As membership and usage grows, the above membership dues and billing structure may change in order to provide equipment or service upgrades or cover increased or unanticipated costs. The Network will endeavor to provide members one month’s notice, but such notice may be given in the next invoice statement in the next billing cycle. |

|
Members pledge to remit membership fees in a timely manner associated with professionalism, good business and credit principles. Members agree that delinquent accounts may result in all other members being notified of such status. |

Members promise to keep their password secret, secure and unshared. |

| Use: | ||||||
|
Members must use the Network and agree to do so to the maximum extent possible. The Instant Network is a membership organization whose purpose is to advance the career goals of its members. Such goals may include employment or other such career advice, such as career counseling or project advice. Members recognize the value of the Network lies within the participation as set forth of all the members in the Network. If the Network is not so utilized, members will see no benefit. Each Member is required to post his or her resume. The posting of a resume in no way signifies the member’s intent or desire to seek employment, but is a standard, recognizable format for understanding the member skills for possible assistance to other members. NETWORK MEMBERS ARE REQUIRED TO POST TO THE NETWORK ANY AND ALL CAREER OPPORTUNITIES WHICH THEY KNOW OF AND DO NOT QUALIFY FOR OR HAVE NO INTEREST. A career opportunity is any opportunity another member may consider employment regardless of task, function or remuneration which the posting member has knowledge of, directly or indirectly, through acquaintance, employment or interview, in which the posting member no longer has interest, opportunity or ability. Members are required to post a minimum of three (3) career opportunities to the appropriate career categories each membership month. Each posting, up to the three (3) posting minimum, shall result in a $5.00 credit in the posting member dues accont in the month in which the posting was made. All postings, both of opportunities and resumes, must be made to the appropriate career category, and must include substantial information as to the nature of each posting. (Although such information may be communicated privately after establishing direct contact, sufficient information must be posted in order for other members to ascertain possible interest.) Relevance is paramount. All postings should contain adequate information and be in the correct category in order that other members are able to find them and discern interest. Postings should not be overly verbose, wordy or lengthy. Members constantly falling short of the three (3) minimum monthly postings shall have their memberships reviewed, and may be subject to suspension or revocation. Members in good standing will have the ability to fully utilize the Network, including the ability to post their resume and career opportunities as well as review those posted by other members in all categories. Such members will also be able to take advantage of any future capabilities the Network may offer. Such future capabilities may be included in the monthly dues or be available for an additional charge. Members whose memberships have been suspended or revoked due to delinquency of payments or abuse shall have their memberships so noted (“posted”) to the membership. Such notice may be in the form of a mark or annotation in the member list or in a general notice to part or all of the membership (i.e., e-mail.) Such notice shall remain for the duration of the suspension and serve as notice to the membership that the posted member may soon be withdrawn from the membership, thereby enabling a final chance to get in contact with the posted member if necessary. Career Opportunities posted by the posted member shall remain accessible to the membership and may result in attempt by one member to contact the posted member. If the posted member refuses to respond to any such inquiry, no recourse is available to the Network and members in good standing should recognize such. Such posted members may or may not have their membership and access to the Network revoked at the sole discretion of the Network Administrator. Everyone associated with the Network, without exception, agrees to behave and conduct themselves in a mature, responsible, professional and courteous manner at all times while associated with the Network. The Golden Rule is sacrosanct: treat other members as you yourself would like to be treated. We are here to network: ergo, you must network if called upon. |

| Results: | ||||||
|
All consequences arising from membership in and use of the Network are caused by and the sole responsibility of the members involved and no promise, guarantee or warranty of any result, positive or negative, is made by the membership, the Network, the Company or the Affiliated Parties. |

| Network Administrator: | ||||||
|
The Network Administrator has the final say for all issues arising from The Instant Network. The Administrator has the ability and right to terminate any membership at any time for any cause at his sole discretion without the ability for redress or rebuttal. “Cause” can be at will or for any reason except the proper use of the Network by the member in question in adherence to both letter and spirit of the rules. The Network and its members will be periodically polled to insure function and compliance. Furthermore, depending on severity, the Network Administrator may choose to do any or all of the following: (i) Make a category-limited or general announcement to the membership of the abusing member’s infraction and resulting revocation. Such announcement may also include a warning to not contact the offending party, (ii) Contact the offending member’s internet service provider and pursue remedies allowed therein, (iii)Contact appropriate legal authorities and pursue criminal charges, and/or (iv) File suit in appropriate civil court. Removal, suspension, overall Network discipline and any and all actions taken and decisions made by the Network Administrator are at the sole discretion of the Network Administrator and are fully supported by the Company and are final, without appeal or other attendant rights or remedies or redress. |
