  RESPONSIBILITIES  
 
of The RLM Group, LLC:

The RLM Group, LLC, (the “Company”) is responsible for providing and maintaining The Instant Network, a forum for the exchange of employment and career information for its paid membership. The methodology and technology employed in providing the Network is the sole purview and decision of The Instant Network as long as no decrease in service level results from any change.

This promise does not extend to any service that is not part of the base membership fee.

Each billing cycle, the Network will include in its invoice the accrued charges for the member. The statement may also include the new Network password for the coming billing cycle (if necessary); the list of new members who have joined the Network during the previous billing cycle; the list of Posted members for the coming billing cycle; and the list of members who have been removed from the Network. All statements shall be delivered via electronic mail (e-mail).

Of Members

The membership is responsible for using the Network in an appropriate, mature and professional manner which would not be considered offensive, abusive or harassing to any reasonable person.

Members are required to keep current the contact information for them maintained on file with the Network Administrator, the appropriateness of their resume posting, the validity of the information contained in any posted career opportunity (by notifying the Network Administrator and posting an additional opportunity with the updated information) and the overall use of their membership vis-a-vis return of contacts, etc.

Members are expected to report such misuse to the Network Administrator immediately upon its occurrence.

Members are required to maintain the secrecy of all security codes, such as passwords, and documentation, such as member lists, and not transfer or share the benefits of their membership to any other person or entity. A member's e-mail address may be given out by him or, with prior permission, by another member in regards to any matter previously discussed between the two. Members acknowledge their responsibility to remain to all other rules including the responsibility for the security of their password.

Members are expected to use the Network for the purposes normally associated with their membership type. For example, support group members are not expected nor allowed to utilize their membership in such a way as to enable a piggy-backing of their group members onto the groups own membership. Such piggy-backing of memberships to enable non-members to enjoy the same level of benefits they would were they to hold individual memberships is not allowed. (i.e. even if the contact person for a support group member were to post numerous messages, he would not be justified in simply downloading existing job postings for distribution to the members of his support group. The inequity in this case stems from the fact that other individual members would be denied the ability to individually network with the members of the support group.)

Members are responsible for the prompt payment of the invoice cost for their membership.

Members further agree to their removal from the Network at any time and at the Network Administrator's discretion after their account becomes delinquent to such a level to warrant such action as described under PAYMENT.

 
  COPYRIGHT  
 
All users of the Network are required to abide by U.S. copyright protection laws. This web site, and The Instant Network itself are copyrighted and such copyright protection includes content as well as "look and feel." All materials on this site are protected by copyright of the Company or the Affiliated Parties as well as by the authors and publishers who have given permission to have their materials displayed here. Materials on this site are made available for personal use and are not to be redistributed or mass-produced without the copyright holders’ prior written consent.

 
  PAYMENT  
 
Members are required to remit invoice payments payable to The RLM Group, LLC, at P.O. Box 2027, Stamford, CT 06906 within 10 days of the invoice date. Payments received after 10 days may result in the member being published on the List of Posted Members.

Payments for additional services not included in the membership fee will be included in each billing cycle and invoiced as defined by their own set schedule of charges. Such charges are considered part of the invoice cost and expected to be remitted in the same payment time frame as described for the invoice costs.

Members piggy-backing their memberships will be fined an amount equal to their next billing cycle's invoice cost (without the piggy-backing fine) multiplied by twice the number of unauthorized persons or entities believed to have piggy-backed on their membership during the period.

Payments not received within 10 days of the statement date shall cause the delinquent member to have his name annotated or posted as such in some manner that may include a notation of the member category list or an e-mail notice to the membership.

If invoice payment is not received by the next billing cycle, the delinquent member will not be dunned, nor will he receive another invoice. His access will be revoked and his membership may be suspended or revoked by the Network Adminstrator. He will be required to bring his account current and pay the appropriate pre-payment in order to return his membership to active status.

Members whose delinquency or abuse has caused their memberships to be revoked and removed from the membership, who subsequently wish to rejoin the Network, may be required to pay one full year of membership in advance.

The above payment requirement does not apply to a member who withdraws his membership with notice. A member who has previously withdrawn his memebership can reinstate it by paying another application fee similar to when the member first joined the Network.

Partial payments are not sufficient to prevent posting/removal unless the member has received prior permission from the Network Administrator and/or submits a written dispute to the invoiced charges with a timely payment of the charges not in dispute. Upon resolution of the dispute, the member will be so credited or charged on the next billing cycle's invoice, and be required to remit full payment of that invoice in a time frame appropriate for that invoice.

Disputed charges will be reviewed only on accounts current except for the charge(s) disputed. Any subsequent adjustment(s) shall be made by the Network Administrator whose decision is final.

 
  DEFAULTS  
 
Members in default shall possess no right for any refund, in whole or in part, of any portion of their membership fee. Additionally, defaulted members shall remain responsible for all invoiced charges accrued until their membership has been removed from the system.

 
  USE  
 
Network Membership fees are not usage dependant. Excess usage bears no additional cost, nor does minimal use entitle any reduction in fee.

Membership fee does not include any consideration for any extra service advertised as usage-dependant and not part of the membership fee. Charges for such usage shall accrue along the charge schedule published for that service.

Members are not allowed and agree to not misuse or permit any unauthorized use of the Network. Unauthorized use of the Network by any person other than the member (or member point of contact in the case of Support Group, Corporate or Government members) can result in the member incurring a fine for such action.

Members agree, upon applying for enrollment in The Instant Network, to properly, regularly and diligently use the Network not only in the furtherance of their own career, but those of others.

Members specifically agree to post any potential job opportunity they become aware of through any means for which they are either ineligible, unqualified or uninterested. Members al so agree to post such openings onto the Network in the appropriate category to the best of the posting member's ability. Any member posting such a notice also agrees to be available to discuss the extent of their knowledge of such opening to any other current member.

Members also agree to make themselves reasonably available to any other current member reasonably interested in making contact with them in order to discuss any opportunities, techniques, or other topic relevant to employment.

 
  ABUSE  
 
Members agree upon application for enrollment to use the Network in a helpful, courteous and non_abusive manner with all the appropriate discretion potentially called for by another member's position.

Members so agree that the use of profanity, harassment, sexual impropriety, or other such act that would be unacceptable in polite society is unacceptable on the Network, and calls upon the abusing member all resultant liability and consequence, including immediate and non_refundable dismissal from the Network as well as resulting legal claims from the injured party/member.

Any harassment, verbal abuse, un_social or action not in good taste, or the threat thereof made, or repeated Piggy_backing, repeated mis_categorizing of postings, improper use of the "Old Messages" flag, or unauthorized deletion of any message or greeting other than those in the member's own mailbox extension is misuse of the Network and cause for disciplinary action at the Network Administrator's discretion.

 
  POSTING  
 
Members agree, expressly acknowledge the possibility of and permit the posting and publication of their name as overdue in the List of Posted Members and its distribution to the Network membership. Such posting and publication shall serve as notice to the membership of the delinquent member's pending removal from the Network and is solely controlled by the member by maintaining his account current.

 
  TERMINATION  
 
By Member

The preferred method for members to end their membership is to notify the Network Administrator in writing through their final payment of their intent to terminate their membership. Such notice should be made at least one billing cycle prior to the actual date the member wishes to end their membership in order to allow the Network sufficient time to notify the other members and for them to have one last opportunity to contact the terminating member.

Upon such notification by the member, he will be granted one last billing cycle of Network privileges, following by being posted on the next billing cycle and removal on the billing cycle following posting.

Terminating members are requested and expected to continue checking their e-mail for messages from other members until all career opportunities posted by them are removed from the Network.

Members who have terminated their memberships as above can re-apply for membership without prejudice or additional charge.

Members who need to terminate their memberships more rapidly can request special consideration from the Network Administrator. Terms for such terminations are determined by the Administrator.

A member can end his membership by simply not remitting his payment. This technique is considered rude as it may conceivably keep the membership open for an un_specified period of time with no member to respond to messages, thereby misleading the membership and preventing another waiting list member from joining.

By Network

The Instant Network and Network Administrator have the right to terminate any membership at any time for cause. Cause is defined to be any reason, misuse, abuse, etc, other than proper use of the Network by the member in question.

Termination of a membership by the Network does not carry any rights or remedies for refund, reinstatement or other considerations and is final.

 
  WARRANTY  
 
NO WARRANTIES, EXPRESS OR IMPLIED, (INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE,) NOR ANY REMEDIES OR LIMITATIONS OF ANY KIND (INCLUDING ANY OBLIGATION, LIABILITY, RIGHT, CLAIM, OR REMEDY IN CONTRACT OR TORT, WHETHER OR NOT ARISING FROM SELLER'S NEGLIGENCE, ACTUAL OR INPUTTED) ARE GIVEN NOR ACCEPTED.

ADDITIONALLY, NO ONE ASSOCIATED WITH THE INSTANT NETWORK, THE INSTANT NETWORK SERVICE, THE RLM GROUP, LLC, ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYESS, AGENTS, AFFILIATES OR, ASSIGNEES, OR ANY OTHER PERSON OR ENTITY ASSOCIATED OR AFFILIATED WITH ANY OF THE ABOVE, INCLUDING ANY MEMBER THEREOF IS AUTHORIZED OR ENTITLED TO MAKE ANY GUARANTEE, WARRANT, OR CLAIM OF PERFORMANCE OR RESULTS ON BEHALF OF THE RLM GROUP, LLC OR THE INSTANT NETWORK.

 
  WAIVER/INDEMNITY  
 
ALL MEMBERS AGREE TO INDEMNIFY AGAINST, AND HOLD HARMLESS FROM ANY AND ALL RESULTS, EVENTS, OCCURRENCES, DAMAGE, DAMAGES, HARM, LIABILITY, OR SITUATIONS ARISING FROM THEIR MEMBERSHIP IN OR AFFILIATION WITH THE INSTANT NETWORK EVERYONE ASSOCIATED WITH THE INSTANT NETWORK, THE RLM GROUP, LLC, ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYESS, AGENTS, AFFILIATES OR, ASSIGNEES, OR ANY OTHER PERSON OR ENTITY ASSOCIATED OR AFFILIATED WITH ANY OF THE ABOVE, INCLUDING ANY MEMBER THEREOF, WHETHER SAID RESULT WAS NEGLIGENT OR COULD HAVE BEEN ANTICIPATED, PLANNED FOR, EXPECTED OR UNEXPECTED.

MEMBERS AGREE TO TAKE UPON THEMSELVES ALL RESPONSIBILITY FOR THEIR USE, MEMBERSHIP, PARTICIPATION AND AFFILIATION WITH THE INSTANT NETWORK AND THE RESULTS OF THAT AFFILIATION VIS_A_VIS THE OTHER MEMBERS.

Members waive, upon applying for enrollment in the Network, all rights and remedies, express or implied, against anyone associated with The Instant Network for any act or consequence resulting from their use of or membership in the Network, regardless of whether or not such act or consequence results directly or indirectly from any action or non_action on the part of The Instant Network, The Network Administrator, any Network member, The RLM Group, LLC, its Shareholders, Directors, Officers, Employess, Agents, Affiliates or Assignees, or any other person or entity associated or affiliated with any of the above.

 
  MAILING LIST/PRIVACY  
 
The Instant Network membership is a tailored mailing list of those with specific employment concerns. Information entered into the Network's systems and or databases shall be used by the Network primarily to maintain good discipline amongst the members or to provide an informational trail should one ever be necessary. Some of the information so entered shall be published by the Network for its intended use by other Network members. Other than certain record fields containing what the Network believes to be the minimum amount of information necessary to perform Network functions, most data inputs are solely at the discretion of the inputting member. Furthermore, the content and specific data entered by any member during an input event is solely at the discretion of the inputting member and the Network can not make any claim as to its veracity or the result of any use thereof. Nor can the Network take any proactive action to accomplish any such assurances or resultant use thereof, and such actions are limited to reactive ones.

While the Network has no immediate plans for our list of members, a situation may arise where it would be in the best interest of the membership to utilize the list for a mailing. Such a mailing shall only be done should the Network Administrator so believe it to be in the memberships best interest. The membership specifically agrees to such mailing and such discretion.

The Network reserves the ability to maintain any individual, member, former member, non-member on its mailing list and its right to send any mailing it deems of interest to the majority of the persons on the mailing list.

The Network has no control, nor effective method to control, the potential use by another member of the Network as a mailing list or other sales tool. While the Network will do its best to discourage such activity, there may be a service or item of such interest and benefit to the overall membership that limiting its access to the membership would result in a disservice. All we can do is our best to screen such activity but can not make any guarantee of such.

 
  CHANGES  
 
By Network

The Network may, and reserves the right to, at any time make any change to the Network without notice to or permission from the membership providing such change does not result in a reduction of fee-included service in mid_billing cycle. Such limitation does not apply to any additional charge or usage based service not considered to be included in the membership fee.

By Member

A member can change his password, resume, opportunity postings as well as his contact information on file with the Network Administrator at his will by notifying the Network Administrator of such prior to making any change.

 
  MODIFICATION, APPLICABLE LAWS, CONSTRUCTION AND CAPTIONS  
 
No modification of these terms of membership shall be binding unless made in writing and distributed to the entire membership. Absolutely no modification or alteration of these terms may be made on an individual basis. These terms shall be interpreted in accordance with and the construction thereof shall be governed by the laws of the State of Connecticut, United States of America. Captions, as used in these terms and conditions, are for convenience of reference only and shall not be deemed or construed as in any way limiting or extending the language of the provisions to which such captions may refer.

 
  TAXES  
 
For income tax purposes, all revenues and expenses will be processed and accounted for under The RLM Group, LLC

Sales taxes for members who are Connecticut residents shall be considered included in the membership fees, and shall be paid by The RLM Group, LLC

All other taxes are the responsibility of the individual members.

 
  INCORPORATED BY REFERENCE  
 
The Instant Network Rules, as posted at the World Wide Web URL of http://www.theinstantnetwork.com/rules/rules.htm and the Terms of Use for The Instant Network web site as posted at the World Wide Web URL of http://www.theinstantnetwork.com/rules/use.htm are hereby incorporated into these Instant Network Terms and Conditions by reference.

 
  ENTIRE AGREEMENT  
 
The terms contained herein constitute the entire agreement between the parties hereto and shall supercede all previous communications, representations or agreements, either oral or written between the two parties hereto with respect to the subject matter hereof.
